Represented Mr. Aaron Frenkel in one of the largest buyout transactions in Israel’s history, in which Property and Building Corp. acquired Mr. Frankel’s shares in Gav Yam, for a little over ILS 3 billion.

Represented the Veridis Group in the largest Israeli IPO in recent years, The total value of the offering is ILS 883 million based on a valuation of the company at ILS 3.75 billion.

Represented Delek Drilling in the issuance of project bonds, one of the largest ever preformed in Israel, for the amount of USD 2.25 billion

Represented Navitas Petroleum, in all aspects related to financing the development of the Shenandoah oil project in the Gulf of Mexico, including three equity and debt issuances, totaling approximately ILS 650 million.

Represented Rimon Infrastructure and Energy Group in its IPO at a company valuation of ILS 1.25 billion, in which it raised a sum of ILS 250 million.

Represented Bank Hapoalim in its separation from Isracard and its IPO on the Tel Aviv Stock Exchange – the first IPO of a credit card company in Israel ever.

Represented Equital (the controlling shareholder of JOEL) in negotiations with JOEL’s special committee on their reverse triangular merger.

The department’s staff represents companies in all aspects pertaining to the capital market, including IPOs, secondary offerings, reporting duties, audit reports, corporate governance, dividends (including in kind, including capital reductions – court proceedings), debt settlements, exempted offers, tender offers, going private transactions, private placements, pre-rulings, the Anti-Concentration Law, compensation policies, and provides counsel with respect to option plans of public companies and takeovers.

The department’s team also handles purchase of activities and shares, mergers and shareholder agreements – sometimes with public aspects that include corporate governance.

The team has unique areas of expertise that include vast experience in acting on complex real estate agreements, in-depth knowledge of the dynamic field of renewable energy, unique expertise in debt financing in the UK and the US under Rule 144A, acting on royalty M&A’s, TACT-Institutional IPOs, administrative enforcement pursuant to the Securities Law, representing holding groups and dually listed companies and more.
