Roey Miodovnik

Roey Miodovnik is a partner in the commercial law department at our Tel Aviv office.

Roey specializes in corporate and commercial law and represents his clients in private investments, merger and acquisition transactions in a variety of fields, international transactions of joint ventures, and accompanies them professionally in the planning, management of negotiations and execution of merger and acquisition transactions of various types, including activity purchase transactions, share purchases, mergers, etc. Over the years, Roey has taken part in the execution of many transactions, including large-scale international transactions with a high media profile, including in the field of high-tech, industry, retail, renewable energy, finance and others.

Roey is also involved in providing ongoing counsel to foundations, startups and other various corporations from a variety of fields, starting from the early stages of planning and setting up the ventures, drafting founders’ agreements, through the incorporation of the company, preparing and handling the raising of capital, drafting loan agreements and investment agreements, protection of intellectual property, employment agreements, employee option plans, etc., to mergers, acquisitions and public offerings.

Roey provides his clients with ongoing counsel in the fields of corporate and commercial law in the various aspects related to company law, partnerships, securities and the capital market and represents his clients in managing negotiations within the framework of all the commercial transactions they carry out.

The clients that Roey represents include startups, high-tech companies, retail, industry, renewable energy, finance, hedge funds, private investors and others.

In addition, Roey also deals with civil-commercial litigation cases, mainly in company law, securities and class actions relating to corporate governance and the capital market.

Roey also holds a bachelor’s degree in accounting, which affords him a broad and in-depth understanding of the financial and accounting side of his clients and assists clients in examining transactions and decision making beyond the legal aspect as well.

• Represented the Delek Group in the sale of control of Delek Israel. Transaction value of approximately ILS 500 million.
• Represented Delek Israel in the sale of two power plants. Transaction value of approximately ILSS 360 million.
• Represented the Generation Capital fund in the acquisition of a logistic company. Transaction value of approximately ILS 75 million.
• Represented a Canadian public company in a merger with an Israeli tech startup. Transaction value of approximately USD 40 million.
• Represented an innovative fintech startup in raising five million US dollars in first round funding.
