Cooperation in times of Insolvency - webinar
It was a great honor to host Judge Eitan Orenstein, former president of the Tel-Aviv District Court, in a special Insolvency webinar, held in collaboration with the Association of Corporate Counsel.

The webinar, hosted by Head of our Insolvency department adv. Dr. Itay Hass, discussed important issues of the Israeli Insolvency system, provided useful tools for working with corporations undergoing insolvency processes, and included a lecture on the regulatory challenges faced by Israeli companies, by partner Noa Willinger.

Digital wallet revolution
Another significant step in Israel’s digital wallet revolution was achieved yesterday.
Meirav Yung of our Competition Practice represented one of Israel’s leading banks, Bank Hapoalim בנק הפועלים, in an agreement with credit card provider, Isracard. The agreement will allow their clients, both bank and off-bank credit card holders, to utilize each other’s digital wallets for contactless payment.
This agreement will promote the launch of Hapoalim’s digital wallet, based on it's ‘bit’ app, and of Isracard’s digital wallet, based on it's ‘anypay’ app.

Israeli Intermediation Services: Call for Public Comment
The Israeli Competition Authority (hereinafter: the ICA) has issued a call for public comment on its proposal for the regulation of online intermediation services such as: e-commerce sites; restaurant, transit, and event booking apps; app stores; and social media platforms. According to the ICA, Intermediation Services have the ability to skew market forces and create power gaps between competitors that may lead to unfair business dealings.
The ICA intends to propose legislation similar to the EU Regulation on Online Intermediation Services, in order to promote transparency and fairness for commercial users of Intermediation Services.

Representing Shaare Zedek hospital in a financial agreement
As part of the firm’s ongoing counsel to Shaare Zedek Medical Center, Jerusalem, partner Einat Cherki represented Shaare Zedek throughout the crisis of the public hospitals, and the crucial financial agreement with the Ministry of Finance.

The agreement states that in 2021, seven public medical centers will receive over NIS 960 million for ongoing operation and medical supplies, providing a budgetary stability and ensuring the timely payment of hospital staff and its suppliers.

Chevron allows Tamar partners to sell gas separately
On January 31st, 2021 Settlement Agreements were signed between the stakeholders in the Tamar and Leviathan gas fields and with Israel Electric Corporation, resolving a longstanding dispute between the parties. In addition, principles for gas balancing in the Tamar reservoir were agreed between the owners of the field, which will enable separate sales from this field.
Dan Hacohen and Eddie Ashkenazi, partners in our Energy Practice, led the negotiations of the settlement agreements between the parties and Israel Electric Corporation.
Zvi Agmon and Mattan Meridor, partners in our Competition Practice advised Chevron (formerly Noble Energy) in the proceedings and discussions with the Israeli Competition Authority in relation to the settlement.

Israeli Privacy Protection Authority’s Report of Audit on Data Processing and Data Storage Sector

On November 2, 2020, the Israel Privacy Protection Authority (“IPPA”) published an audit report detailing its findings in a sector-wide audit conducted amongst entities operating in the database storage and processing sector in Israel. The Audit was conducted in entities providing various services, such as SaaS (Software as a Service), which include applications, interfaces and services for database owners, and including hosting websites which collect personal data. Others examined in the framework of the Audit were entities which provide platform services (PaaS – Platform as a Service) and infrastructure services (IaaS - Infrastructure as a Service) which mainly include the provision of storage services to database owners.

We have had a very busy quarter advising new and existing clients. This work included investments, the sale and purchase of businesses under sale-leaseback arrangements, advising on potential IPOs in the ASX, providing ongoing support as the Australian legal advisers for the Israel Trade Commission in Australia, and assisting in a dispute involving a prestigious Bondi Beach residential development. Here are some of the highlights:

We have been providing support to a joint venture between Australian and international entrepreneurs in the acquisition of a substantial freehold property investment and development rights in South Australia and Victoria for the establishment of photovoltaic solar generation facilities. Term sheets have been executed and the parties are currently in the due diligence phase, pending the finalisation and execution of transaction documents.
Agmon & Co. represented an Israeli provider of finance that was the largest creditor for a listed company (ASX: SAS) in administration. We negotiated a contract with a proposed new major shareholder and provided support and representation in the Deed of Company Arrangement (DOCA) process.
We continue to advise a large Israeli irrigation company with global operations and its Australian subsidiaries in all aspects of their Australian operations, including negotiating settlements in a number of longstanding disputes, resolving inter-company matters, and conducting ongoing adjudication and litigation in the Supreme Court of New South Wales.
We supported an Australian manufacturer and importer of diabetes-related OTC medical products with a significant organisational restructure as it prepared for continued expansion in both the Australian and global markets. This included advising on the planning and implementation of changes to the group structure, handling the negotiation and settlement of documents with a new strategic investor, and providing operational/regulatory advice.
We provided support for an early-stage start-up in arrangements with founding shareholders and initial employees, as well as support with its go-to-market strategy. This company, which is in the retail customer service arena, is expected to make big waves when it launches its product offering. We are proud to have been with the company during this formative stage.
We supported an Early Childhood Centre operator with a divestment from its portfolio to an ASX-listed operator, negotiating sale and purchase documentation and a long-term commercial lease.

Our high-tech department represents Centrica Innovations, a British investment fund, in its various investments in the Israeli high-tech industry. Osnat Sarusi-Firstater, Saar Rosman, Yinon Barkat and Oran Shetrit advised Centrica in connection with $11 million third round of financing in the Israeli startup, Driivz Ltd. Client update - Abuse of Monopolistic Position by the Central Bottling Co. Ltd
The Director General of the Israeli Competition Authority has fined the Central Bottling Co. $11.3 million USD ( 39 million NIS) for violations of the Economic Competition Law, including abuse of monopolistic position; refusal to supply; violation of merger conditions; violation of a consent decree; and violation of the Director General's orders.

This fine is the most recent in a series of serious fines that the Competition Authority has imposed on monopolies, and should serve as a warning sign to all monopolies with business in Israel. The Competition Authority's aggressive new policy of enforcing the laws regarding monopolistic behavior highlights the importance of implementing an effective compliance program.

District Court decisions regarding the prohibition of excessive pricing by a monopolist
The Israeli Central District Court recently issued two decisions that develop the claim of monopolistic excessive pricing as a civil tort, and clarify some of the obligations imposed on monopolists operating in the Israeli market. In one decision, the Court certified a Class Action Claim that alleged that the Israeli producer and distributor of Coca-Cola charged an excessive monopolistic price for Coca-Cola. In the second, the Court dismissed a Class Action Claim against Strauss Group for the excessive pricing of cocoa powder. In these decisions, the Court explored the elements of excessive pricing as a cause of action in a class action claim, including the effect of a monopolist's market power on its responsibilities to the market and as a party to a class action, as well as the burden of proof that rests on each party to such a claim.
In this memo, we review the precedents set by these cases and their effect on companies operating in the Israeli market.

Litigation department wins an appeal at the Supreme court for MIDROG
The Supreme Court recently rejected an appeal of the decision to deny certification of a class action against the credit rating agency Midroog. The Court ruled that credit rating agencies should not be held liable for failures in reports, except in the case of bad faith or gross negligence.

Adv. Eyal Mamo at a conference to promote the Negev development plan
Adv. Eyal Mamo, Head of our Planning and Construction department, gave a lecture this morning at a conference held by the Ministry of Construction and Housing and the Merage Foundation, where local council heads convened in the Negev for the first forum of its kind, to promote the Negev development plan. Yoav Gallant, the Minister of Construction and Housing, also spoke at the conference, emphasizing that from a national point of view, the State must concentrate its efforts in the Negev in all aspects, and that is what they are doing. We are happy to be a part of this important and values-based project.

The Court dismissed a motion to certify a class action against "Jerusalem Economy" and its directors
The Court dismissed a motion to certify a class action against "Jerusalem Economy" and its directors. According to the applicants claim, the company allowed a number of private investors to purchase company shares at better terms than the market conditions, thereby discriminating against public shareholders.

All of the arguments of the company and its directors were accepted by an expert on behalf of the Court, which led to the dismissal of the applicants motion to certify. Adv. Uri Sorek, Co-Head of our firm's Litigation Department, represented Jerusalem Economy’s directors.

Our firm represented the Alon Blue Square Ltd in the sale of its control to Mr. Moti Ben-Moshe
Alon Blue Square Ltd completed the sale of BSI to businessman Mr. Moti Ben-Moshe. The group includes the control of publicly traded companies Blue Square Real Estate, Dor Alon gas stations and home network tools Naaman.

Mr. Moti Ben-Moshe paid NIS113 million to Alon Blue Square and, as part of the creditors arrangement, Alon Blue Square also pledged to inject NIS600 million through the company C.A.A Holding Ltd in the coming year. Ben Moshe holds full ownership of Alon Blue Square Ltd, removing the minority shareholders that held so far about 27 % of its shares.

Attorneys Zvi Agmon, Mattan Meridor and Meirav Yung represented Cellcom –Israel Ltd (Cellcom) in the appeal filed by Golan Telecom in the Israeli Supreme Court.

The injunction issued by the District Court - at the request of Cellcom - was left intact and Golan Telecom has been required to pay Cellcom’s costs.

Debt Settlement Approved for Alon Blue Square Ltd Holding Company
Our client Alon Blue Square Ltd has seen its debt settlement approved on August 10th 2016 after increasing the payment to its minority shareholders. The settlement will transfer control of Alon Blue Square Ltd business group to Mr. Moti Ben-Moshe, subject to the approval of amendments to the various creditors arrangements.

Delek Group Ltd. had set an update regarding the high excessive demand in the institutional stage of the offering of two series of Convertible Bonds (series 32 & series 33 ) which the group promotes.
The group is also expected to complete the money raise in the public offering round, expecting to raise a total of 1.2 billion Shekel, mainly for the purpose of debt refinancing.

The court accepted the claim put forward by Cellcom, that the agreement signed between Golan Telecom and Hot Mobile is a violation of Cellcom's acquisition agreement with Golan Telecom .

Our firm represented the David InterContinental Hotel in a petition filed against the Ministry of Health and the Local Authority of Businesses Licensing
Attorneys Avi Porten and Kira Lerner represented the David InterContinental Hotel in an appeal against the decision of the Ministry of Health not to extend the hotel's pool license, claiming that shading instruments shall be installed over the pool.

The District Court in Tel Aviv accepted the petition and ordered the respondents to renew the business license of the petitioner.

Our firm, led by Dror Savransky, Gilli Brooks – Varon and Nir Feldshtein, successfully represented Partner Communications Company Ltd. as a respondent to a petition by Bezeq against the Wholesale Market Reform.

After long discussions, on May 29th, 2016, the High Court rejected Bezeq's petition. As a result, other telecommunication companies will be able to use the wholesale market to offer Internet services to the public.

Our firm represented the National Labor Organization (HaHistadrut HaLeumit) in a class action brought against it, alleging the collection of unlawful dues
The Regional Labor Court dismissed a motion to certify a class action lawsuit filed against the National Labor Organization (HaHistadrut HaLeumit), which was represented by attorneys Zvi Agmon and Yonatan Kehat from our firm, alleging collection of unlawful dues from pensioners.

The Regional Labor Court in Tel Aviv stated that the National Labor Organization is not a “business” with respect to the Consumer Protection Law and therefore the relationship between it and its members is not a business-consumer.

A Compromise Agreement against Elbit Systems Ltd. was achieved and represented by attorney Uri Sorek from our firm
A claim for approval of a Class Action was filed in 1999 to the Haifa District Court against Elscint, its controlling shareholder, Elbit Systems Imaging Ltd., and its 25 Directors.

The claim, which was approved as a class action by the Supreme Court of Israel in 2012, was filled following the Elscint's minority Shareholders' claim arguing that a chain of actions carried out by the company's Directors at the time caused major losses to the company.
 
According to the settlement agreement, which was filed to the Court's approval, the defendants' Insurer will pay the defendants in reconciliation a total sum of US$46 million, where 35% of the sum, (US$16.1 million) will be transferred to the representative plaintiffs and their attorneys. If the settlement agreement is approved, it will be one of the highest fees prescribed today for lawyers and plaintiffs together.

An urban renewal plan for building 500 housing units
The District Committee in Tel Aviv approved an urban renewal plan in shalem Street in Ramat Gan. As part of the plan 144 housing units and 9 commercial units will be evacuated and demolished (total area of approximately 45,000 m2), and in their place 500 units in 3 towers of 30 stories each will be built.

Dan Hacohen, head of the energy department at Agmon & Co. Rosenberg Hacohen & Co. and Shirel Guttman-Amira head of the corporate department have been interviewed in the Israel edition of Legal Business. The article discusses the change in Israel’s traditional trading partners such as the US and Europe, and how it is now starting to diversify into Asia-Pacific and other growth economies.
It was written that Dan Hacohen has worked on all the major gas discoveries in Israel, and is quoted saying ‘Proceedings will probably bring about divestitures and assets will change hands bringing in international investment’ in regards to the Antitrust concerns leaving the natural gas sector in Israel in limbo.
In addition, Shirel Guttman-Amira was quoted saying ‘Mutual funds are only allowed to invest in Israeli securities. There is lots of public money to invest’ in regards to US real estate investors starting to access the Israeli bond market.

Regulator approves “Ma’ariv” and “Makor Rishon” sales
Antitrust Commissioner David Gilo has approved the acquisition of Israeli newspaper “Makor Rishon” and the operations of news website NRG by “Israel Today,” and the acquisition of Israeli newspaper “Ma’ariv” by “The Jerusalem Post.” The Antitrust Authority reported that an examination of the mergers raised no concerns that justified opposing them under the Antitrust Law.

Eli Azur was represented by Mattan Meridor and Moran Aumann from Agmon & Co., Rosenberg Hacohen & Co. in the antitrust proceedings for the “Ma’ariv” acquisition deal.

Pelephone, Cellcom ready for network merger antitrust battle
Pelephone Communications Ltd. and Cellcom Israel Ltd. (NYSE:CEL; TASE:CEL) are preparing for a legal battle with the Antitrust Authority over the mobile network unification that was announced this week, and have hired Adv. Zvi Agmon (Cellcom) and Adv. Niv Zecler (Pelephone).

Agmon has supported Cellcom on antitrust issues in a number of cases over recent years, and Zecler represented Bezeq Israeli Telecommunication Co. Ltd. (TASE: BEZQ) in their merger with DBS Satellite Services (1998) Ltd. (YES) before the Antitrust Authority and in the Supreme Court.

The finest photographs of early 20th century Palestine, shuttered in controversy
On the counter of the small photography shop Photo Elia in the Old City of Jerusalem lies an early 20th century picture of the Western Wall, which appears squeezed among the homes of the Mughrabi Quarter that no longer exists. To contemporary Israeli eyes, there is something striking about the scene of worshippers: Women and men are praying together in public.

"The question of copyright was not with regard to each individual picture "but rather with regard to the book as a collection," explains Deuel Peli of the law firm of Agmon & Co., one of two attorneys who represented the family. "Somebody forged the whole book but at a very inferior quality. We hope the trial has created a deterrent effect and in the near future we will be seeing fewer pirated books. But we still don't know who printed the books."
