Biography

Shirel Guttman Amira is a partner and head of the corporate, securities and capital market department at our Tel Aviv office.

Shirel is one of the most prominent lawyers in Israel in the fields of securities and capital markets, and provides counsel in the most complex transactions in the field – just in recent years she has led a variety of precedent-setting and ground-breaking transactions, among them the first split of a public partnership in Israel, the giant IPO of Tamar Petroleum in 2018, the IPO of Isracard, which is the first IPO of a credit card company in Israel, provided counsel to special independent committees and more. In the last three years, the total volume of the transactions and IPOs with respect to which she provided counsel amounts to over three billion dollars.

Shirel advises company boards on aspects of corporate governance and audit committees on extensive aspects relating to the capital market, she provides counsel in controlling shareholder transactions, dividend distribution, purchase offers, mergers and acquisitions transactions, financing and liquidity, debt arrangements and counsel regarding the Anti-Concentration Law.

Shirel represents leading companies from a wide variety of sectors, including gas and oil companies, green energy companies, real estate companies, construction and financial entities, in their many activities related to the capital market and corporate law.

Prior to joining our firm, Shirel served as director of the corporate department at the Israel Securities Authority. As part of her role, she closely accompanied the significant legislative procedures carried out in these years with respect to the Companies Law (Amendments 16, 17, 18-19, 20) and the Securities Law, and dealt extensively with the interpretation of these laws, their application to the companies traded on the Tel Aviv Stock Exchange and the formulation of the Authority’s positions in order to present them to government bodies, public committees and the courts.

Alongside her position at the Securities Authority, Shirel served as a lecturer at the faculty of law at the Hebrew University (“Regulation of the Capital Market”) and as a member of the Accountants Council. In recent years, she served as a lecturer at Tel Aviv University’s faculty of law.

In 2023, Shirel was ranked ‘Leading Individual’ in the Legal 500 international ranking guide based on her professional work and her clients’ reviews.

  • Represented Mr. Aaron Frenkel in the transaction for the sale of all his holdings in the Gav-Yam income-generating real estate company to a property and building company. This was a huge transaction valued at over ILS three billion.
  • Represented Amot Investments in the issuance of shares and options in the sum of over ILS 700 million.
  • Represented the Rimon Group (infrastructure and energy) in its IPO worth ILS 1.25 billion, in which it raised a sum of ILS 250 million.
  • Represented Navitas Petroleum in three equity and debt issuances, totaling approximately ILS 650 million, as a central pillar in the financing plan for the development of the Shenandoah oil project, in the waters of the Gulf of Mexico.
  • Represented Taldor in the merger transaction with One Software Technologies, who purchased Taldor for ILS 250 million.
  • Represented Bank Hapoalim in the separation process and IPO of Isracard, the first ever IPO of a credit card company in Israel.
