Biography

Ran Shalom is a partner in the corporations, securities and the capital market at our Tel Aviv office.

Ran specializes in corporate law, securities and the capital market, domestic and international financing, mergers and acquisitions and commercial transactions.

With his extensive experience he has represented clients in a wide range of equity and debt transactions in the domestic capital market, raising capital from foreign institutional investors, private offerings, M&A transactions, structural changes, going-private transactions, purchase offers and more.

Ran advises public corporations, boards of directors and management on issues in corporate law and securities, including reporting requirements, corporate governance, liability of officers, independent committees, capital preservation rules and remuneration of officers.

His clients include some of the leading players in Israel in the fields of energy, banking, automotive and real estate.

Ran receives professional recognition based on customer feedback and appears on the individual ranking of the International Commercial Guide IFLR1000

  • Led huge fundraisers, including the issuance of guaranteed bonds in the Leviathan project to foreign institutional investors, in the amount of USD 2.25 billion.
  • Provided advice in the public offering of bonds by Bank Leumi, including the first public offering of contingent convertible (CoCo) bonds in Israel.
  • Acted for precedent-setting deals in the local capital market, including Israel’s first merger of public partnerships, royalties from the Leviathan project, public offering of debentures for project financing of oil assets in the Gulf of Mexico and a precedent-setting change in a private real estate investment fund incorporated into a limited partnership for the purpose of executing a public offering.
